Terms of Service

1. Acceptance of Terms

By accessing or using Territory Intel Pro (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including owners, directors, managers, and representatives of organizations using the Service.

2. Description of Service

Territory Intel Pro is a business development management platform for healthcare organizations. It provides account management, visit tracking, referral pipeline management, territory mapping, expense tracking, ROI analytics, and AI-powered coaching tools. The Service is provided on a subscription basis per seat.

3. Account Registration & Security

You must provide accurate information during registration. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately of any unauthorized use. Organization owners are responsible for managing team member access and roles.

4. Subscription & Billing

The Service is billed per seat at the rates published on our pricing page. New organizations start with a 14-day free trial; your payment method is not charged until the trial ends, and you can cancel at any time during the trial to avoid any charge. After the trial, subscriptions renew automatically at your plan’s rate (monthly or annual) unless cancelled before the renewal date. Cancellation takes effect at the end of the current billing period; see our Cancellation Policy and Refund Policy. All fees are non-refundable except as required by law. We may change pricing with 30 days’ notice.

5. Acceptable Use

You agree to comply with our Acceptable Use Policy, which is incorporated into these Terms. In summary, you agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to any part of the Service; (c) interfere with the proper working of the Service; (d) reverse engineer, decompile, or disassemble the Service; (e) resell or redistribute the Service without written authorization.

6. HIPAA & Protected Health Information

Territory Intel Pro is not intended for storing Protected Health Information (PHI) as defined by HIPAA.

You must not enter patient names, dates of birth, Social Security numbers, medical record numbers, or other direct identifiers into the Service. The Service enforces this: free-text entries that look like patient identifiers are automatically rejected before they are saved, and referrals are tracked by auto-assigned referral numbers rather than any patient identity. Users assume full responsibility for compliance with their organization’s HIPAA policies. A Business Associate Agreement is available upon request.

7. Data Ownership

You retain all rights to the data you enter into the Service. We do not sell, rent, or share your data with third parties except as necessary to provide the Service (e.g., cloud hosting via Supabase, payment processing via Stripe). You may export your data at any time using the Export Center.

8. Limitation of Liability

To the maximum extent permitted by law, Territory Intel Pro and its suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

9. Governing Law

These terms are governed by the laws of the State of Nevada, without regard to conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Clark County, Nevada.
